Terms of Service
The core terms that govern access to the YourStanding contractor-compliance software service and paid plans.
Acceptance of Terms
These Terms of Service are an agreement between you and YourStanding ("YourStanding," "we," "us"). By accessing or using YourStanding, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
If you use the Service on behalf of a business or organization, you represent that you have authority to bind that business or organization to these terms.
The YourStanding Disclaimer is part of and incorporated into these terms by reference.
We may update these terms from time to time. For material changes — those that meaningfully affect your rights or obligations — we will give at least 30 days' notice by email or in-product notice and require your acceptance of the updated terms before you continue using the Service. For non-material changes, your continued use of the Service after the update takes effect means you accept it.
The Service
YourStanding is a contractor-compliance software service. It helps businesses track licenses, registrations, permits, certifications, insurance records, bonds, vehicle records, related documents, and renewal timing in one place.
The Service may include reminders, document storage, extraction tools, dashboards, and regulatory reference material. Those features are operational aids. They do not guarantee that any filing, renewal, policy, registration, permit, or license is complete, accepted, or legally sufficient.
YourStanding does not provide legal advice, tax advice, licensing advice, or representation before any agency. We do not submit applications or interact with licensing authorities on your behalf unless we clearly say otherwise in a specific service offering.
No Professional Advice; Your Responsibility
The Service is a compliance tracking and organizational tool, not a substitute for professional legal, regulatory, licensing, or compliance advice. YourStanding does not provide legal advice, regulatory guidance, licensing counsel, or agency representation.
Regulatory data and reference content in the Service are for informational purposes only and may be incomplete, outdated, or inaccurate. You are solely responsible for your own compliance obligations and must verify all requirements directly with the relevant authority before acting. Your use of the Service does not create an attorney-client or other professional relationship.
Reminders and notifications are provided on a best-effort basis through third-party delivery providers. We do not guarantee the delivery, timing, or receipt of any notification. You remain responsible for tracking your own deadlines independently of YourStanding reminders.
Account Registration
You must provide accurate and complete information when creating an account and keep it current. You are responsible for maintaining the security of your credentials and for all activity under your account.
Notify us promptly if you believe your account has been accessed without authorization or if you believe your workspace data has been exposed through your own systems, credentials, or personnel.
Customer Responsibilities
You are responsible for how you use the Service and for the underlying compliance work.
- Keep your account, company, location, and compliance records accurate, current, and complete
- Review reminders, extracted data, and reference content before relying on them for a filing, renewal, submission, or operational decision
- Maintain your own copies of original licenses, applications, certificates, and supporting documents
- Confirm current requirements directly with the relevant authority when it matters
- Obtain any legal, accounting, insurance, or licensing advice you need from your own professional advisors
Subscriptions and Billing
Paid plans are billed through Stripe on the billing cycle shown at checkout or in the billing portal. By starting a paid plan, you authorize recurring charges to your selected payment method until the subscription is canceled.
You can manage or cancel a paid subscription through the billing settings and Stripe billing portal available in the product. Unless a different timing is shown there, cancellation takes effect at the end of the current paid period.
If payment fails, a subscription is canceled, or an account no longer qualifies for paid access, we may limit paid features or downgrade the workspace to the free-tier limits that apply at that time.
Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to systems or data
- Upload malicious files or content
- Share account credentials with unauthorized parties
- Interfere with operation of the Service
- Access, scrape, or harvest the Service or its data by automated means without our written permission
- Reverse engineer, decompile, or attempt to derive the source code or underlying methodology of the Service
- Use the Service to build, train, or assist a competing product or service
- Impersonate another person or submit false or fraudulent compliance data
- Resell, sublicense, or commercially exploit the Service without our authorization
Data and Content
You retain ownership of the data and documents you upload. You are responsible for having the right to upload them and for making sure they do not violate the law or another party's rights.
You grant us a limited license to host, store, process, transmit, and display your content as needed to operate, secure, and improve the Service for your workspace.
We do not sell your personal information. We may use aggregated or de-identified information to improve the Service, measure usage, and support product decisions.
Service Provider Status; Data Processing
When YourStanding processes personal information contained in your data on your behalf, it does so as a service provider under the CCPA/CPRA, and you act as the business. That processing is governed by our Data Processing Addendum, which is part of and incorporated into these terms by reference. By accepting these terms you also accept the Data Processing Addendum.
Our Intellectual Property
The Service, including its software, design, content, regulatory reference materials, and the methodology behind its matching, extraction, and compliance features, is owned by YourStanding and protected by intellectual-property and trade-secret laws. These terms grant you a limited, non-exclusive, non-transferable right to use the Service; they do not transfer any ownership interest in the Service or our intellectual property to you.
"YourStanding" and our logos are our trademarks. You may not use them without our prior written permission.
Regulatory Data Disclaimer
Regulatory reference data is provided for informational purposes only. It may change, contain errors, or become outdated. You are responsible for verifying current requirements with the relevant licensing board, agency, municipality, insurer, or other authority before acting.
See our Disclaimer for additional context about the limits of public reference content published by YourStanding.
Suspension and Termination
We may suspend or terminate access to the Service if you violate these terms, use the Service in a way that creates security, fraud, abuse, or legal risk, or materially interfere with other users or the platform.
You may stop using the Service at any time. If you close your account or delete your organization, your right to use the affected workspace ends when that deletion is processed.
For 30 days after an account or workspace is closed, you may request a copy of your data by contacting support@yourstanding.com. After that window, we may permanently delete it, subject to temporary backup or recovery copies. We do not promise self-serve export tools or a particular export format.
Disclaimers and Liability Limits
To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis. YourStanding expressly disclaims all warranties, express or implied, including without limitation the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
YourStanding does not warrant that the Service will meet your requirements, be error-free, uninterrupted, accurate, or complete, or that it will prevent any missed deadline, compliance lapse, enforcement issue, or business loss.
To the maximum extent permitted by law, YourStanding is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, arising from or related to your use of the Service.
To the maximum extent permitted by law, our total aggregate liability for all claims arising from or related to the Service will not exceed the amount you paid us for the Service during the twelve months before the event giving rise to the claim.
Nothing in these terms excludes or limits liability for fraud, willful injury, gross negligence, or any other liability that cannot be excluded or limited under applicable law. If any limitation in this section is held unenforceable, the remaining limitations continue to apply to the fullest extent permitted by law.
Force Majeure
YourStanding is not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, government action, labor disputes, network or infrastructure failures, or outages of third-party service providers. We will make reasonable efforts to resume normal service as soon as practicable.
Indemnification
You agree to defend, indemnify, and hold harmless YourStanding and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these terms; (c) your data or content; or (d) your violation of any applicable law or regulation. We may assume exclusive control of the defense of any matter subject to indemnification by you, at your expense, and you agree to cooperate with our defense of such claims. This indemnification does not apply to the extent a claim arises from YourStanding's own gross negligence, willful misconduct, or fraud.
Governing Law and Disputes
These terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute that is not subject to arbitration under the section below — including a dispute by anyone who has opted out of arbitration — must be brought exclusively in the state or federal courts located in the State of California, and you consent to the personal jurisdiction of those courts.
Arbitration and Class Action Waiver
Please read this section carefully. It affects how disputes between you and YourStanding are resolved and limits your ability to bring a class action or to have a dispute decided by a court or jury.
Except for the carve-outs below, any dispute, claim, or controversy arising out of or relating to these terms or your use of the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable rules, rather than in court. Judgment on the arbitrator's award may be entered in any court with jurisdiction. This section is governed by the Federal Arbitration Act.
Carve-outs. Either party may (a) bring an individual claim in small claims court if it qualifies, and (b) seek injunctive or other equitable relief in court to protect its intellectual property or confidential information.
Class action waiver. Disputes will be conducted only on an individual basis and not as a class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims.
30-day opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these terms by emailing support@yourstanding.com with your name, account email, and a statement that you opt out of arbitration. If you opt out, the Governing Law and Disputes section above governs your disputes.
